Article I. Name
The official name of the organization is the UNCW Honors Scholars Association.
Article II. Affiliation
This organization is not affiliated with any local, state, national, or international organization.
Article III. Purpose and Objectives
To provide all UNCW Honors Scholars with a variety of service, social, cultural, scholarly, and leadership opportunities.
Article IV. Adherence
This organization will adhere to all University rules, regulations, and policies, as well as to all local, state, and federal laws.
Article V. Membership
Section 1. Membership will be open to any Honors Scholar or other UNCW student interested in the advancement of academic, cultural, social, and service opportunities.
Section 2. This organization does not discriminate against any student, faculty, or staff based on race, color, national origin, sex, age, handicap, or sexual orientation.
Section 3. Categories of membership include:
Section 4. All of the following members have full participation privileges:
Section 5. To remain an Active Member, the member shall pay dues, attend 50% of meetings, attend one service event, and one social event per semester.
Section 6. Any HSA member may be considered for removal for any violation of Article IV. Process for removal requires a meeting with the Executive Board and a majority vote by the Board. In the case of a split decision, the faculty advisors are responsible for the decision.
Article VL Advisor
Section 1. The Honors Scholars Association will be advised by the Honors Program Director and the Assistant Director when needed.
Section 2. The Advisors hold voting privileges in the case of a split decision.
Article VII. Meetings
Section l. HSA will convene twice monthly. The President or Vice President may call special meetings if necessary. Any member of the Executive Board may contact the President to request a special Executive Board meeting.
Section 2. HSA will follow Robert's Rules of Order. Newly Revised.
Section 3. In order to be eligible to vote during a meeting, the member must have been in attendance at the previous meeting.
Section 4. For HSA a quorum is constituted by a majority vote by the eligible members. In the case of a split vote the President will be allowed to vote to break the tie.
Article VIII. Officers
Section 1. The officers of the Honors Scholars Association will include: President, Vice President, Secretary, Treasurer, and Webmaster(s).
Section 2. The duties of the Honors Scholars Association officers include, but are not limited to:
Section 3. An HSA officer may be subject to removal for violating Article IV, neglecting ones duties, or for behavior unbecoming the dignity of the office. Procedure for removal is a unanimous decision by the remaining members of the Executive Board, subject to veto by the faculty advisor.
Article IX. Elections
Section 1. Officers will be elected by a majority vote of members of the Honors Scholars Association. Said elections will be held in the spring semester of the academic year. Officers will hold office for a period of one year, and are eligible to run for office an unlimited number of times. If an officer is only able to hold a position for the fall semester, an open election will be held during the last meeting of the fall semester to fill the position for the spring semester.
Section 2. In the event that a position becomes open during the semester, the president will fulfill the duties of that office until the start of the following semester, when open elections will be held as stated in Article IX, Section 1.
Section 3. Those who wish to run for office will do so by self-nomination or by a nomination with the nominee present to accept, or by their consent.
Article X. Committees
Section 1. The Honors Scholars Association does not currently have an Executive Committee.
Section 2. The Standing Committees of the Honors Scholars Association include:
Section 3. The President of the Honors Scholars Association with the majority consent of the members may form Ad-Hoc Committees.
Article XI. Finances
Dues will be $5.00 per person, per semester, and will be paid in full to the treasurer by the third meeting of the semester. Decisions on how to use money from dues, donations, and fundraisers will be determined by the Executive Board, with regards to members' wishes.
Article XIL Amendments
Amendments to the constitution must be approved by a majority of eligible voting members present at a regularly scheduled meeting. Amendments can be voted upon during the first meeting following their proposal.
Article XIII. Nonprofit Clause
The Honors Scholars Association is organized exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distribution to organizations that qualifies as exempt organizations under section 501 (c) (3) of Internal Revenue Code of 1954. . No part of the net earnings of the organization shall inure to the benefit of its members, directors, officers, or other persons except that the organization shall be authorized to empower to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the exempt purposes of the organization. In the event of dissolution, the residual assets of the organizations will be turned over to one or more organizations with similar purposes or to one or more organizations described in section 501 (5) (3) of the Internal Revenue Code of 1954.

d. Organizing Visitation Days
e. Keeping officers and members informed about important information and activities via e-mail.

Vice President:
a. Take over the duties of the President when he/she is absent.

Secretary:
a. Maintain minutes of each meeting.
b. Provide the Executive Board members with a typed copy of the minutes.

a. Collect and deposit membership dues.

f. Hold the Chair position on the Fundraising Committee.
